TORONTO — Nortel Networks Corp. has launched the latest sale of its dwindling assets with an agreement to sell its carrier voice-over-Internet protocol and application solutions business to Genband Inc. for US$282 million.
The former technology darling announced the deal Wednesday with Genband acting as the "stalking horse" bidder to set the floor price for the assets at an auction supervised by bankruptcy courts.
Nortel said the price is subject to balance sheet and other adjustments currently estimated at about US$100 million.
"The proposed transaction represents a clear and positive step forward for Nortel's CVAS customers, employees, and business," said Samih Elhage, president of Nortel's CVAS business.
"Today's announcement is a strong endorsement of our continued leadership in the Carrier VoIP market where we have held the number one position since 2002."
Nortel will wait to see if other bidders emerge for the voice over Internet protocol assets. Court approvals for bidding procedures, including a bid deadline and tentative auction date, are expected in January.
The announcement marks another significant step toward the dismantling of the telecom equipment maker, which has been under a court supervised bankruptcy restructuring since the start of 2009.
Since then, the company has auctioned off most of its larger divisions in an attempt to pay back debtholders.
Only a few assets still exist under the Nortel name, but Grace McDonald, a lawyer involved in winding down the company's operations, said that it hardly means that there's nothing left of the company because other smaller pieces could still be auctioned.
The list includes Nortel's multimedia messaging service technology and various patents. Other assets, like the recently auctioned Global System for Mobile (GSM) business, still require court approval before they're finalized.
Genband's US$282-million stalking horse bid could mark the start to another brawl between technology companies for a piece of Nortel's operations.
"We know that stalking horses can certainly go up between 50 and 100 per cent, so this could tip the needle at $500 million," suggested Duncan Stewart, director of research and analysis at DSam Consulting.
Genband has teamed up with existing shareholder One Equity Partners III to assist in financing the proposed purchase.
Nortel will remain focused on providing customers with the highest levels of service and support throughout the purchase process, said Elhage.
Nortel said a "significant majority" of CVAS employees would be able to continue working with Genband.
Earlier this month, Ciena Corp. won an auction to acquire Nortel's optical networking and carrier Ethernet business for $769 million.
Separately on Wednesday, Nortel said it's that several of its divisions - Nortel Networks Ltd., Nortel Networks Inc., and other subsidiaries - have reached a funding and settlement agreement over transfer claims.
The agreement included the stipulation that Nortel Networks Inc. pays about US$190 million next year towards the estimated costs from the limited corporation, among details on the allocation of other costs.
In November, Nortel reported a US$508 million loss in the third quarter, which was a fraction of the $3.4 billion loss logged a year earlier.
